Terms of Service

1. Who we are

UGCFlow ("we", "us") operates under the laws of Spain. These Terms govern your access to and use of UGCFlow's website and AI-generated video services (the "Service").

2. The service

UGCFlow generates short video advertisements using AI models, based on images, audio, and text you provide. You choose the creative direction; our AI systems produce the video, script, and (where selected) cloned voice or likeness.

3. AI limitations — please read this

UGCFlow does not and cannot guarantee the accuracy, quality, or perfection of any generated output. The Service uses third-party and proprietary AI models that:

• May produce visual artifacts, distorted faces or objects, unnatural motion, or inconsistent framing.
• May produce audio that mispronounces words, sounds unnatural, or imperfectly matches a cloned voice.
• May not perfectly follow your creative direction, script, or intended tone.
• May occasionally decline to generate content that violates our Acceptable Use policy (Section 5).

Generation results can vary between attempts even with identical input. You are responsible for reviewing every generated video before publishing or distributing it, including for accuracy, appropriateness, and compliance with any platform (TikTok, Meta, X, etc.) content policies you publish it to.

4. Accounts

You must provide accurate information when creating an account and are responsible for activity under your account. You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.

5. Acceptable use

You agree not to use the Service to generate content that:

• Depicts real people without their consent, including using someone else's likeness or voice you don't have the right to use.
• Is illegal, defamatory, fraudulent, or infringes another party's intellectual property rights.
• Constitutes non-consensual intimate imagery, child sexual abuse material, or any sexually explicit content involving minors — strictly prohibited, reported to relevant authorities where legally required.
• Is intended to harass, deceive, or impersonate a real person or organization in a misleading way.

We reserve the right to suspend or terminate accounts that violate this section, without refund of unused credits obtained through violating conduct.

6. Credits, purchases, and refunds

The Service is credit-based. Credits are consumed when you submit a generation request, and are not refunded once a generation completes successfully — see our Refund Policy for the full policy, including how failed generations are handled and how the EU 14-day right of withdrawal applies (and can be waived) for digital services like this one.

7. Ownership of generated content

Subject to your compliance with these Terms and full payment, you own the video output generated from your own submissions. You are responsible for ensuring you have the rights to any images, audio, or likenesses you upload as input.

8. Disclaimer of warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement — subject to any statutory consumer rights that cannot be excluded under applicable law (including EU/Spanish consumer protection law), which remain unaffected by this section.

9. Limitation of liability

To the maximum extent permitted by law, UGCFlow will not be liable for indirect, incidental, special, or consequential damages arising from your use of the Service, including any reliance on AI-generated content. Nothing in these Terms limits liability that cannot be limited under applicable mandatory law (e.g. liability for death or personal injury caused by negligence, or fraud).

10. Your responsibility for what you upload

You keep full responsibility for every image, audio recording, and likeness you put into the Service. By uploading, you confirm that you either own it or hold all rights and permissions needed to use it this way — including, where the material shows or imitates a real person, that person’s consent to having their likeness or voice used to generate advertising content. Uploading a photograph or voice of someone else without their permission, including a public figure, celebrity, or anyone you do not personally have the right to depict, is a breach of these Terms.

You agree to indemnify and hold harmless UGCFlow and its operator against any third-party claim, demand, loss, damage, or cost (including reasonable legal fees) arising out of content you submitted or generated in breach of these Terms — in particular any claim brought by a person whose likeness, voice, name, or intellectual property you used without the right to do so.

If someone’s likeness has been used without permission, including your own, contact [email protected] with enough detail to identify the content. We act on credible reports promptly: we remove the material, can block the specific file from being uploaded again, and may suspend the account responsible. You do not need an account with us to report this.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified via email or an in-app notice before they take effect.

12. Governing law

These Terms are governed by the laws of Spain, without regard to conflict-of-law principles. If you are a consumer resident in the EU, you retain any mandatory consumer protections of your own country of residence.
